By accessing or using MikroGigs (“the Platform”), you agree to be bound by these Terms of Use (“the Agreement”), our Privacy Policy, and any supplementary policies displayed on our website. If you do not agree, please discontinue use immediately.

1. General Terms

Eligibility: You must be at least 18 years old to register. By using MikroGigs, you confirm that you have the legal capacity to enter into this Agreement.

Account Responsibility: You are responsible for the accuracy of your account data and for safeguarding your credentials. Any activity performed under your account is deemed your responsibility.

Right to Refuse or Suspend Access: MikroGigs reserves the right to suspend or terminate accounts that breach these Terms or applicable laws.

2. Nature of the Platform

MikroGigs operates as a hybrid digital ecosystem consisting of:

• A Marketplace for professional and digital services (“Gigs”).
• A Social Platform where users earn MG Coins through verified engagement, referrals, and participation.

Earnings are based solely on legitimate, measurable activity — not on speculation, deposits, or passive investment.

3. Ownership & Legal Positioning

Non-Security Representation: MG Coins, badges, or engagement-based rewards are not shares, securities, or investment instruments. They serve purely as internal reward metrics.

Equity Conversion (Snapshot Clause):
If MikroGigs becomes a publicly listed entity or introduces an equity-sharing program, a snapshot of all MG Coin balances and user activity will be taken on the official conversion date.
Only users active and verified at that snapshot will qualify under the announced conversion ratio. MG Coins earned after the snapshot will not retroactively qualify.

Ownership and Revenue Sharing:
Users do not own shares in MikroGigs unless expressly granted through a future formal equity issuance. Until then, ownership remains with MikroGigs.

Right to Modify:
MikroGigs may adjust reward ratios, payout cycles, or the structure of its community program to maintain financial and operational sustainability, with prior notice to users.

Payout Timing & Deferred Cycles: Distribution schedules may vary based on total ad revenue, liquidity availability, or third-party payment processor timelines. If the platform’s net ad revenue for a given cycle is insufficient to support equitable distribution, MikroGigs may defer or aggregate that payout into the subsequent cycle. Deferred cycles do not accrue interest or penalties.

4. Revenue and Earnings Architecture

4.1 Platform Revenue Streams

Pro Packages: Optional paid upgrades offering higher visibility, analytics, and referral commissions.

Payout Policy: 50% of every Pro Package sale is paid out within 24 hours via Paystack to the referring user.

The remaining 50% supports company operations, hosting, development, and support costs.

Gig Commissions: Fees deducted from completed professional transactions to sustain platform maintenance.

Ad Revenue: Income generated from advertisements displayed across MikroGigs. This forms the basis of the Ad Revenue Sharing Pool.

4.2 Ad Revenue Distribution

MikroGigs commits to allocating up to 50% of Net Ad Revenue to eligible users through its community earnings system.

Net Ad Revenue = Gross advertising income minus taxes, refunds, chargebacks, ad network commissions, and verified invalid traffic deductions.

Eligibility Criteria:

• Verified user account with no active suspension.
• Minimum MG Coin balance or engagement level as published in payout terms.
• Valid activity verified through anti-fraud and compliance checks.

Distribution Formula: Rewards are calculated proportionally based on MG Coins, verified engagement, and referral contribution.

Commencement: Payouts begin once MikroGigs reaches the required revenue and operational stability benchmarks, typically 3–6 months post-launch or upon achieving sustained ad revenue.

Use of Remaining 50%: Retained by MikroGigs for salaries, development, infrastructure, legal compliance, and business continuity.

Eligibility for Payouts: Only verified users who meet the minimum MG Coin balance, engagement threshold, and referral validity requirements as determined by MikroGigs are eligible for Ad Revenue Pool distributions or MG Coin conversions. MikroGigs reserves the right to defer or skip payouts for users who fail to meet verification or activity standards during a given payout cycle.

5. Rewards, Referrals, and MG Coins

Purpose: Referrals help grow the user community. They are not investments.

Reward Conditions: Commissions and MG Coin earnings depend entirely on platform activity and are not guaranteed.

Payment Gateways: Disbursements occur via trusted payment processors (Paystack, Monnify, etc.) in compliance with KYC and AML standards.

No Multi-Level Marketing: MikroGigs uses a direct referral structure only. Users earn from direct referrals; there are no chain or downline bonuses.

Fraud & Clawback: MikroGigs reserves the right to withhold, adjust, or reverse any rewards, MG Coins, or commissions derived from fraudulent, duplicate, or ineligible activities, including but not limited to: bot-generated engagement, fake traffic, multiple account manipulation, misrepresentation, or referral abuse. MikroGigs may also suspend or terminate user accounts pending investigation. Rewards found to originate from invalid activity may be permanently forfeited, even after initial payout.

6. Transparency, Audit, and Verification

Ledger Visibility: Users can view periodic summaries of total ad revenue, reward pool allocations, and payout history via the dashboard.

Independent Verification: MikroGigs may, at its discretion, engage independent auditors or third-party analysts to review its Ad Revenue Pool, payout ratios, and user reward systems. Summaries of verified financial data may be published periodically on the platform to maintain community trust and transparency.

Verification: All rewards undergo automated and manual checks before payment. Any suspected manipulation may delay or cancel payout until resolved.

7. User Conduct and Prohibited Activities

Users must not:

• Promote illegal, unethical, or misleading content.
• Engage in fraud, referral manipulation, or use automation/bots.
• Post hate speech, adult material outside permitted zones, or any material violating Nigerian or international law.
• Spread misinformation about MikroGigs or misrepresent earnings potential.

Violation may result in immediate account termination and forfeiture of pending rewards.

8. Platform Liability

MikroGigs is not a bank, broker, or investment company.
It provides engagement tools and service marketplaces that generate user rewards from legitimate participation.
Earnings are performance-based, variable, and not guaranteed.

9. Data Protection & Privacy

MikroGigs adheres to the Nigeria Data Protection Regulation (NDPR) and other applicable laws.

Data is collected and used solely to enhance user experience and operational functionality.

MikroGigs does not sell or rent user data to advertisers.

Ads are delivered using privacy-compliant targeting standards.

11. Termination and Enforcement

MikroGigs may suspend or permanently terminate any user found to be in breach of these Terms.
Pending or disputed payouts may be held during investigations.
All fraud-related earnings will be nullified upon confirmation of misconduct.

12. Legal Governance & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.

All disputes shall first be resolved through arbitration in Oyo State, under the Arbitration and Conciliation Act.

Users agree to submit exclusively to the jurisdiction of Oyo State courts following unsuccessful arbitration.

13. Force Majeure

MikroGigs shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, war, civil unrest, pandemics, strikes, or failures of suppliers or third-party systems. During such events, obligations may be suspended or adjusted without liability.

14. Indemnification

Indemnification: You agree to indemnify and hold harmless MikroGigs, its founders, affiliates, employees, and partners from any claim, loss, liability, or expense arising out of your misuse of the platform, breach of these Terms, or violation of applicable laws.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by MikroGigs to enforce any right or provision shall not constitute a waiver of such right or provision.
